Acquisition Model Build

The Challenge

The client had recently gone through one acquisition and was planning two more. It was recognized that an extensive model would be required to bring together historical data and assumptions from four different geographical and regulatory environments to plan the future and satisfy lenders for approval of the new financing package. The client had no FP&A team and required help beyond building the model.

The Solution

We sat down with the CFO to understand the current business model and how it was expected to change with the integration of each acquisition. This included synergies around workforce planning and expansion into new products and regions. With that in mind, we were able to design a model that provided business unit and consolidated views of financial statements, with the relevant debt and equity financing packages and covenant calculations for the funding providers. We built out scenarios that showed equity and debt cases, highlighting key differences in assumptions to assist with the funding process.

The Outcome

The client was delighted with the model and requested that we support the CFO through the acquisitions and funding processes. Our duties included updating the model for actual data and assumptions arising from changes in the business plan and vendor negotiations and running sensitivities for lenders. Both acquisitions were completed successfully.
